Terms of Service.

All products listed on this site are sold strictly for in-vitro laboratory research and are not intended for human or animal consumption, diagnosis, or treatment.

By placing an order you represent and warrant that you are a qualified laboratory, research professional, or institution; that you are at least 18 years old; and that the products will be used solely for in-vitro research purposes in a controlled laboratory environment in accordance with all applicable laws and regulations.

To create an account you must provide accurate information and keep it current. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us immediately of any suspected unauthorized use.

All prices are shown in U.S. dollars and may change without notice. We reserve the right to refuse, cancel, or limit any order, including for suspected fraud, pricing or description errors, restricted destinations, or inventory issues. If we cancel an order after charging your payment method, we will refund the charge.

Payment is processed by Stripe. By submitting payment information you authorize us (and Stripe) to charge the selected payment method for the total order amount, including any taxes and shipping.

Shipping timelines and rates are described on the Shipping page. Title and risk of loss pass to you upon delivery to the carrier. You are responsible for any import duties, taxes, or fees imposed by your jurisdiction.

Our return and refund policy is described on the Returns page and forms part of these Terms.

Points, tier benefits, and referral rewards have no cash value, are non-transferable, and can be modified, suspended, or terminated at our discretion. Points may expire under the conditions described on the Rewards page. Fraudulent activity may result in forfeiture of points and account closure.

Participation in the partner program is governed by the application process and program terms presented at sign-up. Commissions are paid only on qualified, completed orders that are not refunded or charged back. We may revise commission rates and payout schedules with notice.

• Do not resell, repackage, or relabel products for human or animal use.
• Do not misrepresent the products or their intended use.
• Do not attempt to disrupt, reverse-engineer, scrape, or gain unauthorized access to the site.
• Do not use the site to violate any law or third-party right.

All site content — text, graphics, logos, photography, and software — is owned by Halo Bac or its licensors and is protected by U.S. and international intellectual-property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

The site and products are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We make no warranty that the site will be uninterrupted, secure, or error-free.

To the maximum extent permitted by law, Halo Bac, its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total aggregate liability for any claim arising out of or related to these Terms or the products will not exceed the amount you paid us for the product giving rise to the claim in the twelve months preceding the claim.

You agree to indemnify and hold harmless Halo Bac and its affiliates from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your misuse of the products, your violation of these Terms, or your violation of any law or third-party right.

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

We may update these Terms from time to time. Material changes will be posted here with a new "Last updated" date. Continued use of the site after a change constitutes acceptance.
